TERMS AND CONDITIONS

These terms and conditions govern your participation in the Affiliate Programme (the “Programme”). “We,” “us,” or “our” means GoAffPro.com and ELYTRUM Ltd. “Publisher,” “affiliate”, “you” or “your” means the applicant. A “site” means a website. “Partner Site” means ELYTRUM Website, the e-commerce/retail partner using the goaffpro affiliate tracking software. “Your site” means any site(s), any software application(s) that you link to the partner site. The Partner Site is owned and operated by Elytrum Ltd whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ United Kingdom, and whose company number is 11694400. "Advertising Fees" means commissions earned for a successful and verified sale of product on the Partner Site by a customer using your referral link.

BY CHECKING THE BOX INDICATING THAT YOU AGREE TO THESE TERMS AND CONDITIONS, OR BY CONTINUING TO PARTICIPATE IN THE PROGRAMME FOLLOWING OUR POSTING OF A CHANGE NOTICE, REVISED TERMS AND CONDITIONS, OR REVISED OPERATIONAL DOCUMENTATION ON THE PARTNER WEBSITE, YOU (A) AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS; (B) ACKNOWLEDGE AND AGREE THAT YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAMME AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS AND CONDITIONS; AND (C) HEREBY REPRESENT AND WARRANT THAT YOU ARE LAWFULLY ABLE TO ENTER INTO CONTRACTS (E.G., YOU ARE NOT A MINOR) AND THAT YOU ARE AND WILL REMAIN IN COMPLIANCE WITH THESE TERMS AND CONDITIONS. IN ADDITION, IF THESE TERMS AND CONDITIONS ARE BEING AGREED TO BY A COMPANY OR OTHER LEGAL ENTITY, THEN THE PERSON AGREEING TO THESE TERMS AND CONDITIONS ON BEHALF OF THAT COMPANY OR ENTITY HEREBY REPRESENTS AND WARRANTS THAT HE OR SHE IS AUTHORIZED AND LAWFULLY ABLE TO BIND THAT COMPANY OR ENTITY TO THESE TERMS AND CONDITIONS.

OVERVIEW

ELYTRUM is an independent beauty and wellbeing brand offering a collection of hiqh-quality premium body brushes made from sustainable plant fibres. All ELYTRUM body brushes are known for their inherent texture, high quality and effectiveness. ELYTRUM body brushes are beautifully handmade, natural, vegan, and biodegradable.

Standard Commission Rates

We offer a rate of 10% for every new customer and 5% for returning customers. We are happy to consider offering prizes for competitions for high performing affiliates. Please note that commissions are paid on total basket value minus VAT, tax and delivery after all discounts have been applied.
Exclusions: gift cards / vouchers, discount codes used during sale periods qualify for 2% commission.
Please note ELYTRUM’s standard cancellation period is 14 days. Commissions will be confirmed after this period has been completed depending on the status of the order. Transactions are validated once orders have been dispatched.

Social Content Creators

Please note if you wish to use affiliate links within your Instagram Stories and other social channels, you will need to use #ad as the only valid identifier to be ASA compliant.

Creative

We provide a variety of banners and product data feeds. Please do not alter any of our creative or text links available without our prior written consent. Please do not hardcode banners into your sites so our creative updates take immediate effect.
We can create bespoke / co branded creative on request for high performing affiliates.

GENERAL

1. Description of the Programme

The purpose of the Programme is to permit you to advertise Products on your site and to earn advertising fees OR commissions for Qualifying Purchases (defined in Section 7) made by you. A “Product” is any item sold on the Partner Website, other than any products that are explicitly defined as excluded products. In order to facilitate your advertisement of Products, we may make available to you data, images, text, link formats, widgets, links, and other linking tools, and other information in connection with the Programme ("Content"). Content specifically excludes any data, images, text, or other information or content relating to products offered on any site other than the Partner Site.

2. Intellectual Property Rights

Affiliates must respect our intellectual property rights. These rights include trademarks and service marks, copyright and related rights, trade names and domain names, rights to goodwill and rights in confidential information. If an affiliate infringes these rights, they may be removed, losing any commissions earned.

3. Programme Restrictions & Paid Search

These Terms and Conditions are applicable on any ad platform, including, but not limited to search engines, content networks and social networking advertising placements.

Affiliates are not permitted to purchase, own, bid or appear on any domain names and brand searches with the word ‘elytrum’ or misspellings of ‘elytrum’ in the URL. For example, www.elytrum.com. In order to avoid any broad-match/extended-match issues, affiliates must add ELYTRUM brand terms and misspellings (including, but not limited to, keywords such as ‘ELYTRUM Beauty’, ‘elytrum-beauty’, ‘elytrum-brushes’, ‘ etc) as negative keywords in all paid search activity.

Unless explicit permission has been given, affiliates are not allowed to perform direct linking PPC activity to the ELYTRUM website.
Affiliates may use correctly spelt ELYTRUM Brand Terms after the domain of their website’s URL. For example, http://www.affiliate.com/elytrum.
Affiliates are not permitted to use the brand name (including misspells and variations) as a domain or subdomain, however may use the ELYTRUM brand as a sub folder.

Affiliates are not allowed to register the brand ELYTRUM or any variation of it on any social media platform. This includes and does not limit to brand + generic word or sentence as well generic word or sentence + brand. Any attempt to register such social media accounts will be a direct breach of the ELYTRUM terms and conditions.
Affiliates must not post on any official ELYTRUM social media platform in order to attempt to drive visitors to their webpage. ELYTRUM social media platforms include Facebook, Twitter, Instagram etc.
Direct linking to ELYTRUM websites from paid social media is prohibited.

Publishers are only allowed to promote codes which are available within the affiliate channel. This includes onsite codes, codes which have been uploaded to the Goaffpro interface, codes from affiliate newsletters or codes which have been communicated to the publisher directly. The promotion of personal referral codes is not allowed.

Any affiliates who do not abide by these rules risk having their commissions set to zero and possible suspension.

Please note that any affiliate found contravening these Terms and Conditions may have their commissions declined and face suspension from the programme. In extreme circumstances we reserve the right to immediately suspend any affiliates found contravening these terms and conditions, declining any commissions accrued from the activity.

We are keen to work hand-in-hand with affiliates to forge a profitable relationship for all parties. For more information, assistance, advice or further clarification on whether any of your activities could contravene any of these Terms and Conditions, please contact us.

4. Discount and Offer Codes

Our affiliates are not permitted to display any discount or offer codes on their site or blog unless it has been issued from the account manager or Goaffpro interface.

Use of unauthorised codes will result in non-payment of commission and possible suspension from the programme. We closely monitor all voucher codes used in affiliate sales.

Where voucher codes are issued with an expiry date this should be clearly displayed, and codes should be removed or explicitly marked as expired after this date unless you are advised otherwise. Any affiliates displaying expired codes without marking them as being expired may be suspended from the programme.

5. De-duplication policy

We operate a 30 day cookie, rewarding sales from customers who return directly to the site after initially being referred by an affiliate. For customers returning via any other marketing channel (including channels such as email, paid-search, customer’s referral sales, other affiliate networks or display advertising) the sale is de-duplicated and the affiliate will not be rewarded. The de-duplication will occur at the time of transaction.

6. Enrollment

In applying for any ELYTRUM programmes you, the Publisher, are agreeing to these terms and conditions. If the terms are breached, ELYTRUM reserves the right to suspend you from their programmes with immediate effect and pending trade after the offence may be suspended.

All affiliates who apply to the ELYTRUM affiliate programme will be reviewed prior to a decision being reached. To maximise your chance of being accepted, clearly express your relevance and value to the ELYTRUM affiliate programme in your application and only list the URL/URLs that you plan to feature ELYTRUM.

Any approvals, apply only to the urls provided at the time of application. You do not have permission to feature ELYTRUM on any sites that are not listed in your original application.

The following affiliate sites or behaviours are not permitted:

Under construction
A shop created using our affiliate links
Contain adult content or are pornographic, obscene or sexually explicit
Contain illegal material or any material which is blasphemous or defamatory in any way
Promote violence, discrimination, terrorism, drug use, harassment, or other illegal activities
Use spyware or phishing techniques or are motivated by fraudulent and dishonest practises
Adopt black hat web practices
Work against the interest of ELYTRUM
A competitor or rival company
File sharing
P2P (or Peer to Peer)
Participate in fraudulent activities
Sites that include any trademark of GoAffPro, ELYTRUM or its affiliates, or a variant or misspelling of a trademark of GoAffPro, ELYTRUM or its affiliates, in any domain name, subdomain name, or in any username, group name, or other identifier on any social networking site; or
Sites or material that otherwise violate the Intellectual Property of any third party

Please note, this list is not exhaustive. You are encouraged to clearly express your relevance and value to the ELYTRUM programme in your application. If you are rejected, please check that your URL is not in breach of any terms & conditions.

You acknowledge that you are solely responsible for all materials that appear on your website/s or promotional methods.

Affiliates may:

Only use creative supplied by the advertiser to promote ELYTRUM, unless given permission otherwise.
If you need specific artwork or images, please contact our team and we will do our best to assist.

In addition affiliates may not:

Purchase domain names which include the ELYTRUM brand name, registered trademarks, nor any misspells or variations.
Alter any of the creative or text links available through GoAffPro interface.
Hardcode banners into their site, so updates made to those available through GoAffPro may take immediate effect.

If we reject your application, you are welcome to reapply at any time. However, if we accept your application and we later determine that your site is unsuitable, we may terminate these Terms and Conditions at any time at our sole discretion.

You will ensure that the information in your Programme application and otherwise associated with your account, including your email address and other contact information and identification of your site, is at all times complete, accurate, and up-to-date. We may send notifications (if any), approvals (if any), and other communications relating to the Programme and these Terms and Conditions to the email address then-currently associated with your Programme account. You will be deemed to have received all notifications, approvals, and other communications sent to that email address, even if the email address associated with your account is no longer current.

7. Advertising Fees (Commissions)

We will pay you advertising fees on Qualifying Purchases in accordance with the Affiliate Programme Commissions Schedule. In the event any excess payment has been made to you for any reason whatsoever, we reserve the right to adjust or offset the same against any subsequent advertising fees payable to you under these Terms and Conditions. Subject to the exclusions set forth below, a “Qualifying Purchase” occurs when (a) a customer clicks through a Special Link on your site to the Partner Site; (b) during a single Session that the customer adds a Product to his or her shopping cart and places the order for that Product no later than 30 days following the customer’s initial click-through; or (c) the Product is shipped to, and paid for by, the customer.

A “Session” begins when a customer clicks through a Special Link on your site to the Partner Site and ends upon the first to occur of the following: (x) 24 hours elapses from that click; (y) the customer places an order for a Product; or (z) the customer follows a Special Link to the Partner Site that is not your Special Link.

8. Advertising fee (commission) payments

We will pay you advertising fees on a monthly basis for Qualifying Purchases shipped, streamed, or downloaded (as applicable) in a given month, subject to any applicable withholding or deduction described in these Terms and Conditions. We may accrue and withhold advertising fees until the total amount due to you is at least £5.00 in case of NEFT transfers.

10. Brand Guidelines

Before joining the Affiliate Programme, please ensure your website does not display or sell advertising on any website that contravenes any law or regulation governing false or deceptive advertising.
ELYTRUM is the only licensee of the ELYTRUM trademark.
The contents of ELYTRUM literature and all websites owned by ELYTRUM, including but not limited to ELYTRUM, are protected by the law relating to trademark and copyright. Affiliates must not directly or indirectly bid on the Word Mark ' elytrum ' or derivatives or confusingly similar words.
No Doorway pages to be built around searches for elytrum.
No Masked URL's.
Must be able to navigate using the browsers back button. Please note that sales on pre orders will not be validated until the actual sale has been sent to the customer. Any cancelled orders will not be validated.

Affiliates must always promote ELYTRUM in a positive, relevant manner. Publishers do not publish or permit the publication of any content which is likely to bring into disrepute any ELYTRUM advertiser programme or any of ELYTRUM’s respective licensors or licensees. Guidelines are as follows:

Publishers ensure effective moderation of any user generated content it permits to be published.
Publishers immediately respond to any communication issued by any ELYTRUM advertiser programme, or any of ELYTRUM’s respective licensors or licensees, which concerns content likely to be considered defamatory.

11. Notice Period

Please note, upon closure this merchant operates a 7 day notice period.

13. Policies and Pricing

Customers who buy products through this Programme are customers of the Partner Site with respect to all activities they undertake in connection with the Partner Site. Accordingly, as between you and ELYTRUM, all pricing, terms of sale, rules, policies, and operating procedures concerning customer orders, customer service, and product sales set forth on the Partner Site will apply to those customers, and the same may be changed at any time.

14. Identifying Yourself as an Associate

You will not issue any press release or make any other public communication with respect to these Terms and Conditions, your use of the Content, or your participation in the Programme. You will not misrepresent or embellish the relationship between us and you (including by expressing or implying that we support, sponsor, endorse, or contribute to any charity or other cause), or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by these Terms and Conditions. You must, however, clearly state the following on your site: “[Insert your name] is a participant in the ELYTRUM Affiliate Programme, an affiliate advertising program designed to provide a means for sites to earn advertising fees by advertising and linking to the partner site.”

15. Order Processing

We will process Product orders placed by customers who follow Special Links from your site to the Partner Site. We reserve the right to reject orders that do not comply with any requirements on the Partner Site, as they may be updated from time to time.

16. Termination

The term of these Terms and Conditions will begin upon our acceptance of your Programme application and will end when terminated by either you or us. Either you or us may terminate these Terms and Conditions at any time, with or without cause, by giving the other party written notice of termination. Upon any termination of these Terms and Conditions, any and all licences you have with respect to Content will automatically terminate and you will immediately stop using the Content, all GoAffPro Marks, all ELYTRUM Marks and promptly remove from your site and delete or otherwise destroy all links to the Partner Site, all GoAffPro Marks, all other Content, and any other materials provided or made available by or on behalf of us to you under these Terms and Conditions or otherwise in connection with the Program. We may withhold accrued unpaid advertising fees for a reasonable period of time following termination to ensure that the correct amount is paid (e.g., to account for any cancelations or returns). Upon any termination of these Terms and Conditions, all rights and obligations of the parties will be extinguished, except that the rights and obligations of the parties in these Terms and Conditions, together with any accrued but unpaid payment obligations of us under these Terms and Conditions, will survive the termination of these Terms and Conditions. No termination of these Terms and Conditions will relieve either party for any liability for any breach of, or liability accruing under, these Terms and Conditions Prior to termination.

18. Governing Law

This website and its terms and conditions are interpreted, construed and enforced by the laws of England and Wales. Any disputes arising from this website or its contents shall be resolved by the English Courts.
